This document has not yet been reviewed by a lawyer and is not in force. Passages marked To be completed will be completed by the operator or the lawyer.
These terms apply to individually agreed exports of company data supplied by Martin Adamec to businesses. Mandatory provisions protecting certain parties remain unaffected. Permissible individual agreements take precedence.
A request is not binding. Before acceptance, the written quotation describes the scope of service, countries, filters, fields, format, number of records or an agreed estimate, data status, price, currency, taxes, payment, delivery, licence and applicable terms. The contract is concluded when the quotation is accepted on the terms agreed in writing. These terms do not set a general acceptance period.
The export described in the accepted quotation is delivered. Updates and recurring services require an agreement. Public company data can change and fields may be missing; relevant limitations are described in the quotation. The source and source date are stated for every published contact. Statutory rights in the event of defective performance remain. Reachability, consent to marketing, responses or sales success are not guaranteed.
Price, currency, tax treatment, payment method and due date are agreed individually in the written quotation. Neither advance payment nor a fixed payment period applies automatically. Unless agreed otherwise, the applicable statutory rules apply. Prices published on the website are final prices.
Delivery date, file format and transmission method are agreed in the written quotation. Any time limit on download access is stated before acceptance. Please report delays or technical problems using the contact details below; statutory rights to a remedy remain unaffected.
Before acceptance, the quotation sets out the permitted use, recipients, onward transfer and any licence restrictions. Rights in a compilation are claimed only to the extent protected by law (in particular the database maker’s right under the Slovak Copyright Act, Act No. 185/2015 Coll.); public facts are not claimed as the operator’s property. The rights and licences of the sources remain. Delivery alone does not authorise the processing of personal data or marketing.
Each party is responsible for its own processing. Customers need a legal basis, fulfil information duties and respect objections. Direct marketing by email without prior consent is permitted only under the conditions of § 116(15) of Act No. 452/2021 Coll. on electronic communications, in particular to the published contact details of businesses and with an opt-out in every message. Direct marketing calls must not be made to numbers on the list under § 116(7) and (8) of the same act. The customer also takes § 4(6) of Act No. 22/2004 Coll. into account. Exports must not be used for profiles containing special categories of personal data or for decisions on consumer creditworthiness. To be completed: the lawyer will assess the relationship between § 116(15) of Act No. 452/2021 Coll. and § 4(6) of Act No. 22/2004 Coll.
When making a complaint, please state the order and the discrepancy, ideally with examples. The written quotation sets out the agreed remedy individually, such as correction, replacement or an appropriate reduction. Mandatory warranty rights remain; without a specific agreement the statutory rules apply. These terms do not shorten notification or limitation periods.
The statutory rules on liability apply. These terms contain no cap on liability, no general exclusion of warranty, no contractual penalty and no indemnity obligation. Notices about data limitations do not mean a waiver of rights for breach of contract or other statutory liability.
The processing of customer data and database data is explained in the privacy information. Before an export of personal data, the roles of the parties, legal bases, necessary safeguards and any international transfers must be assessed. A sale alone neither makes the disclosure lawful nor makes the customer a processor.
The offer is aimed at business use. This does not remove any mandatory withdrawal or other rights that the applicable law grants to a particular customer. Individually agreed cancellation terms must preserve those rights.
The governing law and jurisdiction follow the statutory conflict-of-laws and jurisdiction rules unless there is a valid individual agreement. These terms do not designate an exclusive foreign court or arbitration. To be completed: the lawyer will assess the choice of law (Slovak Republic or Czech Republic) and the relationship to the Slovak Commercial Code (Act No. 513/1991 Coll.).
The version provided with the accepted quotation applies to the contract. Later changes to the website do not automatically change existing contracts. If provisions are invalid, the statutory rules apply; mandatory protective provisions remain.
